These Terms of Use (the “Terms”) govern your access to and use of the website at tgpsecurity.com (the “Site”), operated by TGP Security Consulting Inc. (“TGP Security,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
The Site and its contents are provided for general informational purposes only. Nothing on the Site constitutes legal, financial, investment, or professional advice, an offer to sell or a solicitation of an offer to buy any security, or an offer to license or sell any product or technology. Any partnership, licensing, investment, or commercial arrangement with TGP Security requires a separate written agreement signed by TGP Security.
The Site may contain forward-looking statements, including statements about product development, proof-of-concept programs, partnerships, and commercialization plans. These statements are based on current expectations, involve risks and uncertainties, and are not guarantees of future performance. Actual results may differ materially. We undertake no obligation to update forward-looking statements.
Technologies described on the Site as “patent-pending” are the subject of patent applications that have been filed but not granted. The filing of a patent application does not guarantee that a patent will issue or, if issued, the scope of any resulting claims.
The Site and all of its content — including text, graphics, images, logos, trademarks (including “TGP Security,” “DSSC,” and “UACCA”), technology descriptions, and design — are owned by TGP Security or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access the Site for your internal informational use only. Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the Site without our prior written consent. Accessing the Site, requesting a meeting, or receiving any materials does not grant you any right, title, interest, or license in our patents, patent applications, or other intellectual property.
Certain documents and materials referenced on the Site (including white papers and technical specifications) are proprietary and are made available, if at all, only under a separate written non-disclosure agreement. Requesting such materials does not guarantee that they will be provided.
You agree to use the Site only for lawful purposes. You agree not to:
Any information or materials you submit through the Site (including through the contact and appointment forms) will be treated as non-confidential unless a written non-disclosure agreement signed by TGP Security is in place before submission. Submitting information, requesting a meeting, or meeting with TGP Security does not by itself create a partnership, joint venture, agency, fiduciary, or confidential relationship between you and TGP Security, and does not obligate TGP Security to pursue any opportunity or to refrain from independently developing similar technologies or business relationships.
A meeting request submitted through the Site is a request only and is not a confirmed appointment until TGP Security confirms it in writing (including by email). We may accept, decline, reschedule, or cancel any request at our discretion.
The Site links to third-party services and websites (for example, LinkedIn, our sign-in portal, and Google Translate). These are provided for convenience only. We do not control and are not responsible for third-party content, services, security, or privacy practices, and your use of them is governed by their own terms and policies.
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that information on the Site is current or complete at the time you access it.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TGP SECURITY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold harmless TGP Security and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of those courts.
We may modify these Terms at any time by posting the updated Terms on this page; the “Last updated” date below will be revised accordingly, and your continued use of the Site constitutes acceptance of the updated Terms. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and TGP Security regarding use of the Site. You may not assign these Terms without our prior written consent.
Questions about these Terms may be sent to TGP Security Consulting Inc. at info@tgpsecurity.com or through our contact page.
